Sales Terms & Conditions

These Sales Terms and Conditions ("Sales Terms") govern all purchases of products and services from Enzovera Life Sciences LLC ("Enzovera"). By placing an order, you ("Customer") accept these Sales Terms in full.

All orders are subject to acceptance by Enzovera. We reserve the right to refuse or cancel any order at our discretion. A written order confirmation from Enzovera constitutes acceptance and creates a binding contract.

• Prices are in USD and subject to change without notice prior to order confirmation
• Payment is due within 30 days of invoice date unless otherwise agreed in writing
• Enzovera reserves the right to charge interest at 1.5% per month on overdue balances
• Customer is responsible for all applicable taxes, duties, and import fees

• Products ship FOB origin; risk of loss transfers to Customer upon delivery to carrier
• Delivery dates are estimates only and are not guaranteed
• Enzovera is not liable for delays caused by carrier, customs, or force majeure events
• Cold-chain products ship with appropriate cold pack; Customer must be available to receive shipment promptly upon arrival

Customer must inspect products upon receipt and notify Enzovera of any defects, shortages, or non-conformances within 5 business days of delivery. Failure to notify within this period constitutes acceptance of the products as delivered.

Due to the nature of biological reagents and research products:

• Returns are accepted only for products that arrive damaged or demonstrably non-conforming to published specifications
• A Return Merchandise Authorization (RMA) number must be obtained from Enzovera before returning any product
• Unauthorized returns will not be accepted or credited
• Replacement or refund is at Enzovera's sole discretion following investigation of the claim

Enzovera products are sold for research use only (RUO) unless otherwise expressly stated in writing. By purchasing, Customer represents that:

• Products will be used only for lawful research purposes in qualified laboratory facilities
• Products will not be used in clinical diagnostics, therapeutics, or in or on humans without Enzovera's prior written authorization
• Products will not be resold, relabeled, or repackaged without prior written consent from Enzovera

Enzovera warrants that products will conform to their published specifications at the time of shipment when stored and handled according to product documentation. This warranty is void if products are mishandled, stored improperly, or used contrary to instructions.

EXCEPT AS SET FORTH ABOVE, ENZOVERA MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

ENZOVERA'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM A PRODUCT OR SERVICE SHALL NOT EXCEED THE PURCHASE PRICE PAID FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM. IN NO EVENT SHALL ENZOVERA BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS OR DATA, REGARDLESS OF THE THEORY OF LIABILITY.

Purchase of Enzovera products does not grant any license under any Enzovera patent, trademark, copyright, or other intellectual property right, whether by implication, estoppel, or otherwise. Certain products may be subject to third-party patent rights; use of such products may require a separate license from the relevant patent holder.

These Sales Terms are governed by the laws of the United States. Any dispute arising from these Sales Terms that cannot be resolved by the parties shall be subject to binding arbitration or the courts of competent jurisdiction as agreed in writing between the parties.
